Terms of Service

These Terms of Service ("Terms") govern access to and use of the Tarive financial insights platform (the "Service") provided by Tarive ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

1. Eligibility and Account Registration

1.1 Eligibility – You must be at least 18 years old and capable of entering into a legally binding agreement. The Service is intended for businesses and teams operating in the United States or Canada.

1.2 Account creation – You must provide accurate and complete information during registration and maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.

1.3 Account security – Notify us immediately at info@si8tech.com if you suspect unauthorized use of your account. We reserve the right to disable access if we detect suspicious activity.

2. Description of Service

2.1 Core functionality – Tarive centralizes linked financial accounts, automates transaction categorization, and provides dashboards for budgets and goals.

2.2 Connected services – You may use Plaid to link financial accounts and Stripe to manage subscription payments. Continued access to these features depends on compliance with Plaid and Stripe policies and our agreements with them.

2.3 Beta features – Certain capabilities may be labeled as beta, preview, or experimental. Such features are provided as-is and may be modified or discontinued at any time.

3. Customer Responsibilities

3.1 Accurate data – You are solely responsible for the accuracy of data you submit, including budgets, transaction categorizations, and uploads.

3.2 Lawful use – You must comply with all applicable laws and regulations. You may not use the Service for unlawful financial activities, money laundering, or other prohibited purposes.

3.3 Access controls – You are responsible for ensuring that only authorized personnel access the Service and financial data.

3.4 Third-party consents – You are responsible for obtaining all necessary consents to connect financial accounts via Plaid and to process payment information via Stripe.

4. Third-Party Services

4.1 Plaid – When you connect financial accounts, you authorize Tarive and Plaid to access and transmit your information as described in the Plaid End User Privacy Policy. We do not store your banking credentials.

4.2 Stripe – Subscription payments are processed by Stripe and subject to the Stripe Services Agreement and Stripe Privacy Policy. Payment information is stored by Stripe.

Tarive is not responsible for the acts or omissions of third-party services; your use of those services is governed by their own terms and policies.

5. Fees and Payment

5.1 Free access – The Service may be offered free of charge during promotion periods. We reserve the right to introduce paid tiers with prior notice.

5.2 Paid subscriptions – If you subscribe to a paid plan, you agree to the pricing, billing cycle, and payment terms presented at checkout. Fees are non-refundable except where required by law.

5.3 Taxes – You are responsible for all applicable taxes, duties, and assessments imposed by any authority.

5.4 Late payments – We may suspend or terminate access for unpaid invoices.

6. Data Rights and Ownership

6.1 Your data – You retain ownership of data submitted to the Service. Subject to these Terms, you grant us a non-exclusive, worldwide, royalty-free license to host, use, display, and process your data for the sole purpose of providing and improving the Service.

6.2 Aggregated insights – We may create aggregated or de-identified data that does not identify you or any individual user. We may use and disclose such data for analytics, benchmarking, and product development.

7. Acceptable Use

You agree not to:

  • Attempt to gain unauthorized access to systems or networks
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Circumvent security or access controls
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to store or transmit infringing, defamatory, or unlawful content
  • Transmit malicious code or engage in denial-of-service attacks

We may suspend or terminate access for violations of this section.

8. Privacy and Data Protection

The Tarive Privacy Policy explains how we collect, use, and safeguard personal information. By using the Service, you acknowledge that processing of your data will occur as described in the Privacy Policy.

9. Security

We implement administrative, technical, and physical safeguards designed to protect data, including encryption in transit, access controls, and monitoring. However, no system is completely secure, and we cannot guarantee against all unauthorized access. You are responsible for maintaining secure passwords and protecting your devices.

10. Service Availability

We strive to provide reliable access but do not guarantee uninterrupted or error-free operation. Planned maintenance or unplanned outages may occur. We will use commercially reasonable efforts to notify you of major incidents and provide status updates.

11. Termination

11.1 By you – You may stop using the Service at any time. Contact info@si8tech.com to request account deletion or data export assistance.

11.2 By us – We may suspend or terminate access immediately if you violate these Terms, we suspect fraudulent activity, or continued access would breach our agreements with Plaid, Stripe, or applicable law.

11.3 Effect of termination – Upon termination, your right to use the Service ceases. We may retain backup copies of data for a limited period consistent with our retention policies and legal obligations.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. TARIVE DOES NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, ERROR-FREE, OR SECURE.

FINANCIAL INSIGHTS, PROJECTIONS, OR FORECASTS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, OR TAX ADVICE. YOU ARE RESPONSIBLE FOR YOUR FINANCIAL DECISIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TARIVE AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID FEES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tarive and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your breach of any law or regulation.

15. Governing Law and Dispute Resolution

15.1 Governing law – These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. If you are located in Canada, mandatory consumer protections of your province of residence remain in effect.

15.2 Dispute resolution – The parties will attempt to resolve disputes in good faith. If unresolved, disputes shall be brought in the state or federal courts located in San Francisco County, California, and you consent to jurisdiction there.

16. Changes to Terms

We may modify these Terms from time to time. We will post the updated Terms with a revised effective date and provide reasonable notice of material changes. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
